1. About Semétrie™ and These Terms

These Terms of Use govern your access to and use of the website operated under the Semétrie™ brand at Semétrie™.

Semétrie™ is the brand name and trading style of Neha Malik, a licensed freelance professional operating under a freelance permit issued by TECOM Group, Dubai Internet City, United Arab Emirates, under the jurisdiction of the Dubai Development Authority. References to “Semétrie™,” “we,” “us,” or “our” mean Neha Malik operating under the Semétrie™ brand, unless otherwise stated.

By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, you should not use the Website.

Semétrie™ is a research-led data analytics and practice. The Website is provided for general informational and business inquiry purposes only. It does not create an engagement, proposal, obligation, or client relationship of any kind.

Any work performed by Semétrie™ is governed only by a separate written agreement, proposal, statement of work, confidentiality agreement, data processing agreement, or other written contract executed between Semétrie™ and the applicable client.

2. Engagements and Client Relationships

Using the Website, submitting a form, sending an email, requesting a meeting, or receiving general information from Semétrie™ does not create any client, advisory, fiduciary, confidential, professional, or contractual relationship.

An engagement begins only when Semétrie™ and the client have entered into a written agreement or written engagement confirmation signed or expressly accepted by both parties.

Semétrie™ works with clients internationally. Engagements are invoiced and payable in United States Dollars (USD) unless otherwise agreed in writing.

Semétrie™ may accept, decline, limit, suspend, or discontinue any inquiry, project, dataset, collaboration, or engagement at its sole discretion and without obligation to provide reasons.

3. General Information Only

Website content is provided for general information only. It is not professional advice of any kind: analytical, financial, legal, regulatory, strategic, or otherwise, and should not be relied on as the basis for any decision or action.

Semétrie™ supports interpretation and judgment. It does not replace independent advice, internal governance, legal review, professional oversight, executive responsibility, or any other decision-making process required by law, contract, policy, or circumstance.

4. Analytical and Methodological Limitations

Semétrie™’s work may involve data structuring, modelling, classification, pattern analysis, interpretation, decision-support frameworks, and analytical outputs based on available information.

Semétrie™ does not guarantee any outcome, result, benefit, return, improvement, reduction of risk, future condition, or consequence of any kind.

Any references to risk, deterioration, coherence, fragmentation, trajectories, thresholds, or future-oriented interpretation are analytical, diagnostic, and probabilistic in nature. They are not guarantees, predictions, or warranties of future events, performance, or conditions.

5. Data Quality and Client Responsibility

Any analysis, model, classification, interpretation, visualization, recommendation, or deliverable produced by Semétrie™ depends on the data, information, assumptions, and context made available by the client or user.

Data provided to Semétrie™ may be incomplete, uneven, delayed, inconsistent, subjective, fragmented, biased, incorrectly labelled, improperly structured, or unsuitable for the question being asked of it. Semétrie™ will work with available data in good faith but cannot verify or guarantee its accuracy, completeness, or suitability.

Semétrie™ is not responsible for any error, omission, limitation, loss, consequence, claim, or decision arising from data or information that is inaccurate, incomplete, misleading, outdated, unauthorized, unlawful, or otherwise unsuitable.

Clients and users are responsible for ensuring they have all rights, authority, permissions, consents, notices, and legal bases required to provide any information or data to Semétrie™, including under applicable data protection, privacy, confidentiality, and employment laws.

Findings, outputs, and interpretations may change if additional data, corrected information, new evidence, or a different context becomes available. Semétrie™ is not obligated to revise prior work unless expressly agreed in writing.

6. Decision Responsibility

Semétrie™ may help structure evidence, identify patterns, clarify uncertainty, assess risk, examine relationships, and support interpretation.

All decisions, actions, omissions, implementations, consequences, and reliance on Semétrie™ outputs remain solely the responsibility of the relevant decision maker

Semétrie™ is not responsible for any decision made, action taken, action not taken, or consequence arising from the use of Website content, Semétrie™ materials, or Semétrie™ services, except to the limited extent expressly stated in a signed written agreement.

7. Intellectual Property — Website Content

All Website content, including text, imagery, visual assets, design, layout, concepts, frameworks, methodology descriptions, marks, logos, taglines, and other materials, is owned by Semétrie™ or its licensors unless otherwise stated.

The Semétrie™ name, logo, brand identity, taglines, methodology names including Outcome Fragmentation Intelligence™ and Semétrie Pattern Taxonomy™, service names, and related marks are proprietary brand assets of Semétrie™, whether registered or unregistered.

Nothing on the Website grants any licence or right to use any Semétrie™ content, mark, methodology, framework, visual asset, or proprietary material without prior written permission from Semétrie™.

8. Permitted Use of Website Content

You may access and view the Website for personal, informational, or internal business evaluation purposes only.

You may not copy, reproduce, modify, scrape, extract, reverse engineer, distribute, publish, commercialize, train artificial intelligence or machine learning systems on, create derivative works from, or otherwise exploit any Website content without Semétrie™’s prior written permission.

You may not use the Website, Semétrie™ content, methodology descriptions, visuals, frameworks, language, or materials to imitate, benchmark, develop, train, or commercialize any competing or similar service, product, model, system, framework, or offering.

All rights not expressly granted are reserved.

9. Proprietary Methodology and Know-How

Semétrie™ retains all rights in its intellectual property, know-how, methodology, analytical architecture, research logic, frameworks, models, classifications, templates, visual systems, interpretive structures, scoring approaches, deliverable formats, and generalizable insights, whether disclosed on the Website, in discussions, presentations, proposals, or through client work.

Semétrie™’s methodology is grounded in defended graduate research. Semétrie™’s original application of that research to business systems, together with its original analytical architecture, classifications, structures, and outputs, constitutes proprietary intellectual property of Semétrie™, subject always to any rights held by third-party authors, licensors, or rights holders.

Unless expressly agreed in writing, no person or entity may reverse engineer, replicate, adapt, extract, commercialize, disclose, benchmark, train systems on, or use Semétrie™’s proprietary materials, methods, structures, or outputs for any competing, derivative, external, or unauthorized purpose.

10. Client Materials and Deliverables

Client-provided data, documents, records, datasets, and confidential business information remain the property of the client or their applicable owner. Semétrie™ will handle such materials only as agreed in the applicable written engagement.

Semétrie™ retains full ownership of its methodology, analytical logic, frameworks, models, tools, templates, know-how, and all generalizable intellectual property developed, applied, or refined in connection with any engagement.

Unless otherwise agreed in writing, Semétrie™ deliverables are licensed to the client solely for that client’s internal business use. They may not be published, resold, distributed externally, submitted to any third party, used in legal or regulatory proceedings, incorporated into external materials, shared with outside advisers, or used for automated decision-making without Semétrie™’s prior written consent.

11. User Submissions

If you submit, upload, send, post, transmit, or provide any material to Semétrie™ through the Website or any other channel, you are responsible for that material and represent that you have all rights and authority required to provide it.

You must not submit unlawful, unauthorized, confidential, sensitive, infringing, misleading, harmful, or inappropriate material through general Website forms.

General Website forms are intended only for ordinary business contact information and inquiries. They are not intended for confidential datasets, regulated data, sensitive personal data, trade secrets, or other protected material. 

Unless a separate written agreement expressly states otherwise, unsolicited ideas, proposals, concepts, names, methods, designs, content, or other submissions will not be treated as confidential or proprietary. Semétrie™ may use, reject, develop, or independently create similar materials without obligation or compensation to you.

12. Infringement Notices

Semétrie™ respects intellectual property rights. If you believe that material on the Website infringes your intellectual property rights, please send a written notice to [legal@semetrie.com] including the following: a description of the right you claim has been infringed; a description of the material you believe is infringing and its location on the Website; your name, address, and contact details; a statement that you have a good faith belief that the use is not authorized by the rights holder, its agent, or applicable law; and a statement that the information in your notice is accurate and, where applicable, that you are authorized to act on behalf of the rights holder.

Semétrie™ may remove, disable, investigate, or take no action with respect to the relevant material at its discretion, subject to applicable law. Submitting a false or misleading infringement notice may give rise to legal liability.

13. Confidentiality

Information submitted through general Website contact forms is not intended for confidential or sensitive material and will not be treated as confidential unless a written confidentiality or non-disclosure agreement is in place.

Confidential project information, business data, or sensitive materials should only be shared through secure channels confirmed by Semétrie™ after an engagement agreement is in place.

Where a written confidentiality or non-disclosure agreement governs the treatment of information, that agreement controls over these Terms.

14. Data Protection

Semétrie™ handles personal data submitted through the Website in accordance with its Privacy Policy and applicable data protection law.

As a UAE-licensed freelance practice, Semétrie™’s primary data protection framework is UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, together with any applicable implementing regulations and guidance.

Where Website users, clients, data subjects, or processing activities are connected to other jurisdictions, Semétrie™ handles personal data in accordance with applicable legal obligations to the extent they apply. Any engagement-specific data protection roles, safeguards, transfer mechanisms, processing instructions, or security requirements must be set out in the applicable written agreement.

The full terms governing Semétrie™’s collection, use, storage, and protection of personal data are set out in the Privacy Policy, which forms part of these Terms.

15. Cookies and Tracking

The Website may use cookies, analytics tools, or similar technologies to support functionality, understand Website usage, and improve the user experience.

Where required by applicable law, non-essential cookies or similar technologies will be used only with appropriate notice or consent.

You may not interfere with the Website or its systems, access any part of the Website without authorization, submit harmful code or unauthorized material, misuse Semétrie™ content or methodology, misrepresent your identity or authority, or infringe the rights of Semétrie™ or any third party.

Semétrie™ is not responsible for any third-party content, service, availability, security, privacy practice, policy, action, omission, or consequence. Your use of third-party services is at your own risk and subject to their own terms and policies.

18. Website Availability and Accuracy

Semétrie™ may update, modify, suspend, restrict, or discontinue any part of the Website at any time and without prior notice.

We make reasonable efforts to present Website content accurately and professionally, but we do not warrant that the Website or its content will be accurate, complete, current, secure, uninterrupted, error-free, or free from harmful components at all times.

19. Inability to Perform

Semétrie™ shall not be liable for any delay, interruption, or failure to perform any obligation where such delay, interruption, or failure arises from circumstances beyond Semétrie™’s reasonable control, including but not limited to illness, injury, technical failure, force majeure events, acts of government, natural events, infrastructure failure, or any other cause outside Semétrie™’s reasonable control.

Where a written engagement agreement is in place, the terms of that agreement govern the treatment of such events as between Semétrie™ and the client.

20. Disclaimers

The Website and all Website content are provided on an “as is” and “as available” basis without warranty of any kind.

To the fullest extent permitted by applicable law, Semétrie™ disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, reliability, fitness for a particular purpose, merchantability, non-infringement, availability, security, and error-free operation.

21. No Liability for Website Use

You access and use this Website entirely at your own risk.

To the fullest extent permitted by applicable law, Semétrie™ accepts no liability of any kind, whether in contract, tort, negligence, breach of statutory duty, misrepresentation, or otherwise, arising from or in connection with your access to, use of, reliance on, or inability to use this Website or any of its content.

No client, advisory, fiduciary, confidential, professional, duty-of-care, or service relationship exists between Semétrie™ and any person by reason of accessing or using this Website.

Any liability arising from a client engagement is governed exclusively by the applicable written agreement between Semétrie™ and the relevant client. It is entirely separate from and unaffected by these Website Terms.

22. Indemnification

You agree to indemnify, defend, and hold harmless Semétrie™ and Neha Malik, together with any related contractors, advisers, service providers, representatives, successors, and permitted affiliates, from and against any claim, liability, loss, damage, cost, or expense including reasonable legal fees, arising from or related to your use of the Website, any breach of these Terms, any material you submit, any infringement of third-party rights, any reliance on Website content, any decision or action you take, or any data or information provided by you or on your behalf.

23. International Access

The Website may be accessed from jurisdictions outside the United Arab Emirates. Semétrie™ does not represent that the Website or its content is appropriate, lawful, or available in every jurisdiction.

You are responsible for complying with all laws and regulations applicable to your access to and use of the Website in your jurisdiction.

24. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates applicable in Dubai, without regard to conflict of law principles.

Any dispute arising from or related to these Terms, the Website, or your use of the Website shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, unless applicable mandatory law requires otherwise.

25. Changes to These Terms

Semétrie™ may update these Terms from time to time to reflect changes in law, practice, or the Website. The updated version will be posted on this page with a revised Last Updated date at the top.

Your continued use of the Website after updated Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you should stop using the Website.
